Lounge Access Terms and Conditions

By entering any Lounge, the applicable Priority Pass member and their permitted guests (each such individual, “you”) acknowledge and agree that these terms and conditions (these “Terms”) constitute a binding agreement between you and AD Partnership, LLC (“AD”). Please review these Terms carefully, as your entry into and use of any Lounge is subject to all rules, terms, and conditions set by AD, including these Terms.


AD RESERVES THE RIGHT TO MODIFY THESE TERMS, OR ANY OTHER RULES, TERMS, OR CONDITIONS RELATED TO THE LOUNGES, AT ANY TIME AND WITHOUT NOTICE. ANY SUCH MODIFICATIONS SHALL BE EFFECTIVE IMMEDIATELY, AND DEEMED INCORPORATED INTO THESE TERMS. YOUR CONTINUED USE OF ANY LOUNGE SHALL BE DEEMED YOUR ACCEPTANCE OF THESE TERMS AND ANY SUCH MODIFICATIONS.

ADMISSION GENERALLY
All guests seeking entrance to a Lounge must present a valid boarding pass for a same-day outbound flight, as well as a valid Booking Confirmation. Admission to a Lounge is subject to the following:

  1. Unless otherwise noted in your Booking Confirmation, you will be permitted to enter the Lounge no more than three (3) hours before your flight’s scheduled departure time, unless otherwise permitted by the Lounge Operator in its sole discretion. If the Lounge Operator permits a guest to extend their stay, additional charges may apply, and any such additional charges must be paid by the guest directly to the applicable Lounge. If your same-day outbound flight departs after the Lounge closes for the day, the Lounge Operator may, in its sole discretion, admit you as early as three (3) hours prior to the Lounge’s closing, subject to available capacity.

  2. If you leave the Lounge prior to expiration of your allotted three (3) hour window, and subsequently return to the Lounge, the Lounge Operator may permit you to re-access the Lounge for no fee, subject to availability (waitlist may apply). In such case, you will only be permitted to re-access the Lounge for the period of time remaining in your three (3) hour window. If you leave the Lounge after expiration of your allotted three (3) hour window, and subsequently return to the Lounge, you may re-enter the Lounge as a new guest, subject to availability (waitlist may apply) and payment of any fees for re-entry.

  3. Access to a Lounge is subject to availability at the time of request, and may be subject to charges.

  4. The hours of operation for a Lounge may vary by location, and are subject to change, including for holidays.

  5. The Lounge Operator reserves the right to refuse entry to a Lounge within thirty (30) minutes of such Lounge’s closing.

  6. Airline personnel may access Lounges, subject to the terms applicable to other Lounge guests; provided, that such personnel have a valid boarding pass.

ACCESS CRITERIA AND CONDITIONS

  1. Chase Sapphire Reserve, J.P. Morgan Reserve and Ritz-Carlton primary card members and authorized users who have activated their complimentary Priority Pass membership have lounge access.

  2. Chase Sapphire Reserve and J.P. Morgan Reserve card members may bring up to two guests per Priority Pass membership card, per visit, for free. Ritz-Carlton card members may bring unlimited guests at no charge. There’s no additional charge for children under two.

  3. Guests that have a Priority Pass membership or a Lounge Key membership that is not complimentary through a Chase Sapphire Reserve, J.P. Morgan Reserve, or The Ritz Carlton card will receive one complimentary visit to a Sapphire Lounge by The Club per calendar year. AD LOUNGE RULES

By accessing a Lounge, you agree to abide by these Terms, as well as any other specific terms, conditions, and/or rules of the applicable Lounge that are provided, displayed, or otherwise made available at the Lounge (collectively, the “Lounge Rules”). For the avoidance of doubt, the following Lounge Rules apply to all Lounges (and any Suites):

  1. All minors (under the age of 18) must be accompanied by an adult at all times. Children under the age of two (2) will be admitted free of charge.

  2. Guests must behave and dress in an appropriate manner.

  3. Food and beverages consumed at a Lounge must be provided by the Lounge. Food and beverages provided by a Lounge must be consumed within the Lounge, and cannot be removed from the Lounge.

  4. Authorized service animals, pets, and emotional support animals are permitted in the Lounges. AD may prohibit animals in certain areas of any Lounge. Authorized service animals are permitted in buffet lines, but all other animals must be kept in appropriate pet carrier at all times while in a Lounge. Animals are not permitted on the furniture in the Lounges. Animals must not engage in disruptive behavior, such as roaming freely, barking, or biting. Guests are responsible for all damage and disruption caused by their animals.

The Lounge Operator reserves the right to ask owners to remove animals from the Lounges
at their discretion.

  1. Guests must be respectful of other guests, and be mindful of keeping noise to a reasonable level. Guests should wear headphones when using personal devices such as laptops, iPads, or video games, and should refrain from using the speaker feature on any personal device, including cellular telephones. Adults with accompanying minors are responsible for ensuring suitability of content downloaded, streamed, or viewed on devices in the Lounges. Some content on such devices may not be suitable for minors.

  2. Smoking cigarettes, pipes, cigars (including vapes/e-cigarettes), and the use of chewing or other smokeless tobacco products are strictly prohibited within the Lounges. Use of narcotics, drugs, or illegal substances is strictly prohibited. Violation of the no-smoking policy, or any other terms and conditions, may result in immediate eviction, without a refund.

  3. Use of heating and/or cooking electrical appliances are strictly prohibited. No smoking or vaping is permitted in the Lounges.

  4. Guests in the Lounges must conduct themselves in an appropriate manner. Photography, video, and audio recordings of any person not in your travelling party is prohibited. Any invasive or disruptive behavior, including the streaming of inappropriate content (through gaming platforms/devices, or otherwise), is strictly prohibited. The Lounge Operator reserves the right, at its sole discretion, to remove individuals from a Lounge for any reason, including in the event of inappropriate or invasive conduct.

  5. Guests under the age of twenty-one (21) may not purchase or consume alcohol in the Lounges. Guests in a Lounge who are consuming alcohol must drink responsibly. AD and the Lounge Operator are not responsible for any liability arising out of the actions or inactions of any guest who drinks alcohol excessively. The Lounge Operator may refuse or limit service of alcoholic beverages for any reason, including due to capacity limitations or intoxication of any guest. The Lounge Operator reserves the right to suspend provision of alcohol, or limit the provision of alcohol, in its sole discretion.

The Lounge Operator may refuse or revoke any guest’s access to a Lounge if such guest fails to comply with the Lounge Rules, or such guest otherwise behaves in an inappropriate, abusive, violent, unlawful, disorderly, or otherwise disruptive manner. These decisions will be made by the Lounge Operator in its sole discretion, and no refund will be given in such circumstances.


The Lounge may display flight information, but none of AD, the Lounge Operator, or the Lounge shall have any obligation or responsibility to announce or inform you of your flight information or any changes thereto.

SERVICES AND AMENITIES
The Lounges offer guests certain services and amenities at no additional cost, or for an additional cost as indicated at the applicable Lounge (collectively, the “Amenities”). All Amenities: (i) are subject to availability, (ii) are available on a first come, first served basis, and (iii) may not be reserved in advance. Such Amenities may include:

  1. Food and beverages+

  2. Cocktails, premium spirits, wine, and beer+

  3. High-speed Wi-Fi+

  4. Semi-private workspaces+

  5. Shower Facilities*+

  6. TVs, magazines, and newspapers+

  7. Suites*

  8. Wellness and Spa Area*+

SUITES
Certain Lounges may offer private suites for reservation (a “Suite”) by eligible cardholders including Chase Sapphire Reserve and J.P. Morgan Reserve primary card members and authorized users. By booking a Suite, you agree to these terms, and any other applicable terms and conditions presented when you check-in for your Suite. Suites are subject to availability.

Bookings for Suites must be for three (3) hours. The Lounge Operator may accept or reject a booking request for Suites in its sole discretion. Payment is required in full at time of booking.

You must be 18 years of age to book a Suite. You must vacate the Suite by the booked departure time. The Lounge Operator reserves the right to remove belongings from the Suite after expiry of your booking. Any items left in a Suite may be treated as unattended baggage and disposed of by airport security.
Guests in a Suite must comply with all Lounge Rules set forth hereunder and as otherwise communicated by the Lounge Operator.

If it is determined that damage has occurred to a Suite during your stay, a fee will be assessed according to the extent and/or severity of the damage. If any items are missing from the Suite after your stay, you will be charged accordingly for those items. If a Suite is left in such a condition that additional cleaning above and beyond our normal cleaning procedures is required, an additional fee will also be assessed according to the amount of additional cleaning required.

WELLNESS AND SPA AREA
Certain Lounges may offer various complimentary spa services (“Treatments”) in a separate wellness area (the “Wellness Area”). By using or accessing a Treatment, you agree to these terms, and any other applicable terms and conditions presented when you check-in for your Treatment.

You must be 18 years of age to receive any Treatment(s). You may book a Treatment in person or by contacting the applicable Lounge. The Lounge Operator may accept or reject booking requests for Treatments at its discretion.
Treatments are subject to availability. In order to provide a safe and peaceful experience for all, the use of computers, videos, cameras, or mobile telephones is prohibited in the Wellness Area.

You must fully and accurately complete a wellness or other medical questionnaire prior to receiving any Treatment(s). It is your responsibility to check with your doctor regarding your medical condition prior to receiving any Treatment(s). If you withhold any medical or other applicable information in order to receive a Treatment, you do so at your own risk.
Guests are not permitted to bring any food or drink into the Wellness Area. Any items left in the Wellness Area may be treated as unattended baggage and disposed of by airport security. Pets are not allowed in the Wellness Area.
AD, JPMC, and the Lounge Operator are not responsible for any loss or damage to any person or property, including death or injury, suffered as a result of any Treatment. AD will maintain all information submitted in connection with intake for a Treatment in accordance with applicable laws.

PAYMENT AND FEES

Please contact AD for details on fees to access the Lounge. Please call 1-855-50-SUITE to reserve a Suite. There is no hold or deposit required upon requesting a reservation for a Suite. Payment for a Suite reservation will be taken upon entry to the Lounge. Debit and credit cards are the only accepted forms of payment. In the event your payment is declined, AD reserves the right to deny you access to the Suite. AD may also charge your card for losses sustained for damage to the Lounge property caused by you.

Prices are shown in local currency. Due to fluctuating exchange rates, the price on your credit card bill may be different from the local currency quoted at time of purchase.
All prices are inclusive of sales, local, VAT, and other taxes.

THIRD PARTY OFFERINGS
AD, JPMC and the Lounge Operator are not responsible for products or services separately offered by third parties and made available at any Lounge (“Third Party Offerings”). AD has no control over such Third Party Offerings, and accepts no responsibility for any Third Party Offerings or for any loss or damage that may arise from your use of any Third Party Offerings. If you decide to access, purchase, or otherwise use any Third Party Offerings, you do so entirely at your own risk.

TRADEMARKS

AD’s name, JPMC’s name, the names of the Lounges, and all related names, logos, product and service names, designs and slogans are trademarks of JPMC, AD, or their applicable affiliates or licensors. You must not use or reproduce such marks in any manner, including in print or digital media, without the prior written permission of AD, JPMC, and/or the applicable affiliate or licensor. All other names, logos, product and service names, designs, and slogans displayed at or otherwise used in connection with a Lounge are the trademarks of their respective owners. AD and JPMC provide no representation regarding your ability to use or reproduce such third party trademarks and encourages you to seek permission for any usage from the appropriate parties.


REFUNDS, TRANSFERS, AND CANCELLATIONS
Except as otherwise set forth herein, all Bookings are non-refundable and non-transferable. You may not cancel a Booking (other than Bookings for Suites) for any reason. To cancel a Booking for a Suite, call 1-855-50-SUITE . The Lounge Operator may, in its discretion offer a refund for cancelled Suite Bookings, which will be reviewed on a case by case basis. Once your Booking has expired, it may not be redeemed, used, or rescheduled. AD, the Lounge Operator, and JPMC will not be held liable to any guest who has booked an incorrect or inaccessible Lounge.


INDEMNIFICATION
You agree to defend, indemnify, and hold harmless AD, JPMC, the Lounge Operator, and their respective affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of or relating to: (i) your violation of these Terms, (ii) your use of or access to any Lounge (including any Suite, as applicable), including, but not limited to, any use of a Lounge’s services and products other than as expressly authorized in these Terms, (iii) your use or misuse of any Third Party Offerings, or (iv) any damage or injury to persons or property caused by you or any animal/pet you bring into a Lounge.

DISCLAIMER OF WARRANTIES; LIMITATION OF LIABILITY

YOUR USE OF OR ACCESS TO ANY LOUNGE OR ANY SERVICES OR ITEMS OBTAINED THROUGH A LOUNGE IS AT YOUR OWN RISK. THE LOUNGES (INCLUDING THE AMENITIES) AND ANY SERVICES OR ITEMS OBTAINED THROUGH A LOUNGE ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WITHOUT LIMITING THE FOREGOING, NONE OF AD, JPMC, OR ANY LOUNGE OPERATOR, OR ANY PERSON ASSOCIATED WITH AD, JPMC, OR ANY LOUNGE OPERATOR REPRESENTS OR WARRANTS THAT ANY LOUNGE, AMENITIES, OR ANY SERVICES OR ITEMS OBTAINED THROUGH A LOUNGE WILL MEET YOUR NEEDS OR EXPECTATIONS.

TO THE FULLEST EXTENT PROVIDED BY LAW, AD, JPMC AND THE LOUNGE OPERATOR HEREBY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO ANY WARRANTIES OF MERCHANTABILITY, NON-INFRINGEMENT, AND FITNESS FOR PARTICULAR PURPOSE.
THE FOREGOING DOES NOT AFFECT ANY WARRANTIES THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.

TO THE FULLEST EXTENT PROVIDED BY LAW, IN NO EVENT WILL AD, JPMC OR THE LOUNGE OPERATOR, OR THEIR LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, OR DIRECTORS BE LIABLE FOR DAMAGES OF ANY KIND, UNDER ANY LEGAL THEORY, INCLUDING ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO, PERSONAL INJURY, PAIN AND SUFFERING, EMOTIONAL DISTRESS, LOSS OF REVENUE, LOSS OF PROFITS, LOSS OF BUSINESS OR ANTICIPATED SAVINGS, LOSS OF USE, LOSS OF GOODWILL, LOSS OF DATA, AND WHETHER CAUSED BY TORT (INCLUDING NEGLIGENCE), BREACH OF CONTRACT, OR OTHERWISE, EVEN IF FORESEEABLE, ARISING OUT OF OR IN CONNECTION WITH: (I) YOUR USE OF OR ACCESS TO, OR INABILITY TO USE OR ACCESS, ANY LOUNGE, THIRD PARTY OFFERINGS, OR AMENITIES, DUE TO AD’S FAILURE TO HONOR A BOOKING OR OTHERWISE, OR (II) ANY DEFECT OR OTHER ISSUE IN ANY AMENITIES.

RELEASE OF LIABILITY; CONSENT TO RECEIVE MEDICAL TREATMENT
You fully and forever release and discharge AD, JPMC, and the Lounge Operator from any and all injuries, death, disability, or property damage arising out of or attributable to your use and/or access to any Lounge, to the fullest extent permitted by law. You are responsible for your personal belongings. AD, JPMC, and the Lounge Operator disclaim liability and responsibility for any property that is lost, stolen, or damaged at a Lounge.

You hereby consent to receive medical treatment deemed necessary if you are injured or require medical attention while present at a Lounge. You understand and agree that you are solely responsible for all costs related to such medical treatment and any related medical transportation and/or evacuation. You hereby release, forever discharge, and hold harmless AD, JPMC, and the Lounge Operator from any claim based on such treatment or other medical services.


MISCELLANEOUS

All matters relating to these Terms or a Lounge, and any dispute or claim arising therefrom or related thereto (in each case, including non-contractual disputes or claims), shall be governed  by and construed in accordance with the internal laws of the State of where the applicable Lounge is located (the “State”) without giving effect to any choice or conflict of law provision or rule (whether of the State or any other jurisdiction) and excluding the application of the United Nations Convention on the International Sale of Goods of 1980.

Any legal suit, action, or proceeding arising out of, or related to, these Terms or any Lounge shall be instituted exclusively in the federal and state courts located in the City and County where the applicable Lounge is located, although we retain the right to bring any suit, action, or proceeding against you for breach of these Terms in your country of residence or any other relevant country. You waive any and all objections to the exercise of jurisdiction over you by such courts and to venue in such courts, including waiver of any claim that suit in such court is improper and/or that such court is an inconvenient forum.

No waiver by AD of any term or condition set out in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of AD to assert a right or provision under these Terms shall not constitute a waiver of such right or provision. You may not assign any of your rights, or delegate any of your obligations, hereunder.

If any provision of these Terms is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of these Terms will continue in full force and effect.

Each of AD, JPMC, and the Lounge Operator and each of their respective affiliates, licensors, and service providers, and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns, shall not be liable or responsible to you or any third party, or be deemed to have defaulted under or breached these Terms, for any failure or delay in fulfilling or performing any term of these Terms, when and to the extent such failure or delay is caused by or results from acts beyond such party’s control, including, without limitation, the following: (a) acts of God; (b) flood, fire, earthquake, epidemics, pandemics, or explosion; (c) war, invasion, hostilities (whether war is declared or not), terrorist threats or acts, riot or other civil unrest; (d) government order, law, or actions; (e) embargoes or blockades; (f) national or regional emergency; (g) strikes, labor stoppages or slowdowns, or other industrial disturbances; (h) telecommunication breakdowns, power outages or shortages, lack of warehouse or storage space, inadequate transportation services, or inability or delay in obtaining supplies of adequate or suitable materials; and (i) other events beyond the control of such party.

DEFINITIONS

As used in these Terms, the following capitalized terms used herein shall have the following meanings:

  1. Booking” means your booking for entry into a Lounge, Suite reservations, and/or Treatment reservations in accordance with these Terms.

  2. Booking Confirmation” means a valid confirmation of a Booking.

  3. Lounge” means any airport lounge owned or operated by or on behalf of AD or its affiliates that is branded as a “Chase Sapphire Lounge”.

  4. Lounge Operator” means AD and its affiliates, any third party operator appointed by AD, and its and their respective personnel, affiliates, staff, and contractors providing services at the applicable Lounge.

  5. JPMC” means JPMorgan Chase & Co.
